These Terms and Conditions ("Terms") govern your purchase and use of any digital product offered by Kairo Digital Solutions LLC ("Company," "we," "us," or "our"), including but not limited to The Modern Arrangement™ (collectively, "Products"). By purchasing or accessing any Product, you agree to be bound by these Terms in their entirety. If you do not agree, do not purchase or access any Product.
1. All Sales Are Final — No Refunds
ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES. Due to the immediate digital nature of all Products, access is granted instantly upon payment confirmation. Once access has been granted or delivery initiated, the transaction is complete and irrevocable. The Buyer waives any right to a refund, return, exchange, or credit of any kind — regardless of whether the Buyer has accessed, reviewed, or used the Product; based on dissatisfaction with results or outcomes; based on a claim the Product did not meet the Buyer's individual needs; due to a change of mind after purchase; or based on any claim the Product was not as described, where the product description was available prior to purchase. Marketing materials, quiz results, and promotional content are illustrative only and do not constitute a guarantee, warranty, or promise of any specific outcome.
2. Product Description & Educational Purpose
All Products offered by Kairo Digital Solutions LLC are digital educational products delivered via electronic means. Products are for informational and educational purposes only. Results described in marketing materials represent individual experiences and are not guaranteed. Individual results vary significantly based on factors entirely outside our control, including individual effort, personal circumstances, adherence to the system, and consistency of application.
3. Intellectual Property
All content, materials, frameworks, systems, guides, rituals, protocols, sequences, and other intellectual property contained in any Kairo Digital Solutions LLC Product is the exclusive property of Kairo Digital Solutions LLC, protected by applicable copyright, trademark, and intellectual property laws. Upon purchase, the Buyer receives a limited, non-exclusive, non-transferable, non-sublicensable personal license to access and use the Product for their own personal, non-commercial purposes only. The Buyer may not reproduce, copy, distribute, republish, upload, post, transmit, resell, sublicense, or create derivative works from any content without express prior written consent of Kairo Digital Solutions LLC. Violation may result in immediate access termination and legal action.
4. Chargeback Policy
Before initiating any payment dispute, chargeback, or reversal with your bank, credit card issuer, or payment processor, you are required to contact Kairo Digital Solutions LLC at [email protected] and allow a minimum of 5 business days for resolution. Initiating a chargeback or payment reversal without first contacting us constitutes a material breach of these Terms and an act of fraud. Consequences include: (a) Kairo Digital Solutions LLC will contest every chargeback with full documentation including timestamped purchase confirmation, electronic acceptance of Terms at checkout, access logs, and delivery confirmation; (b) the Buyer will be personally liable for all costs incurred by Kairo Digital Solutions LLC in contesting the dispute, including chargeback fees, administrative costs, and reasonable legal fees; (c) Kairo Digital Solutions LLC reserves the right to report fraudulent chargebacks to applicable fraud prevention databases and payment processors; (d) Kairo Digital Solutions LLC reserves the right to pursue all available civil and criminal legal remedies; (e) access to all Products will be permanently revoked upon initiation of any chargeback.
5. No Guarantees / Results Disclaimer
KAIRO DIGITAL SOLUTIONS LLC MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND REGARDING THE RESULTS, OUTCOMES, OR BENEFITS THAT ANY BUYER MAY ACHIEVE THROUGH THE USE OF ANY PRODUCT. Individual results vary significantly. Any results, testimonials, or examples shown reflect individual experiences under specific circumstances and are not representative of typical or expected outcomes. In accordance with FTC guidelines (16 C.F.R. Part 255), we disclose that testimonials and results shown are not a guarantee of typical results.
6. Binding Arbitration & Class Action Waiver
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY DIGITAL PRODUCT SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION. THE BUYER EXPRESSLY WAIVES THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE ACTION OF ANY KIND AGAINST KAIRO DIGITAL SOLUTIONS LLC. Arbitration shall be administered under the ADR Institute of Canada Commercial Arbitration Rules. The arbitration shall take place in Mississauga, Ontario, Canada, or via videoconference at the arbitrator's discretion. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
8. Disclaimer of Warranties & Limitation of Liability
THE PLATFORM AND ALL DIGITAL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAIRO DIGITAL SOLUTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO THE BUYER FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE BUYER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
9. Indemnification
The Buyer agrees to indemnify, defend, and hold harmless Kairo Digital Solutions LLC, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) use of the Platform or any Digital Product; (b) violation of these Terms; (c) violation of any applicable law or regulation; (d) any fraudulent or bad-faith chargeback or payment dispute initiated by the Buyer.
10. Entire Agreement & Severability
These Terms constitute the entire agreement between the Buyer and Kairo Digital Solutions LLC and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, including any representations made in marketing materials, quiz results, testimonials, or promotional content. If any provision is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
